Board Structure

Board Committee Structure, Responsibilities and Membership

The Board is comprised of an Executive Committee and five committees: Governance, Projects, Finance, Marketing and Fundraising.  Each committee must be comprised of a minimum of two board members and other persons as the Board may from time to time determine.  The majority of the work of the Board is conducted through the committees who make recommendations to the full board for further consideration and approval.

Executive Committee

Exercises the powers of the Board of Directors with regard to the affairs of the Foundation, during intervals between scheduled Board meetings.

Governance Committee

Generally oversee the activities of the Board of Directors and Foundation to ensure their legal compliance and ethical integrity, annually reviews the Board’s performance, directs the development and implementation of the Foundation’s strategic direction and oversees the completion of the Foundation’s audit.

Projects Committee

Generally oversees the project activities to ensure they support the strategic direction of the Board of Directors and fulfills the Foundation’s stated purposes, recommends the strategic direction for projects, solicits, evaluates and recommends projects for Foundation support, monitors project progress for consistency with identified project methodology and expenditures and reviews final project reports.

Finance Committee

Generally oversees the financial activities of the Board of Directors and Foundation to ensure their fiscal integrity, assist the Treasurer in the performance of her or his responsibilities, oversees the development and monitors the implementation of the Foundation’s budgets, invests Foundation funds and oversees and ensures the proper filing of the Foundations annual tax documents.

Marketing Committee

Assists the Board of Directors in the development and implementation of a Marketing Plan including development of a Foundation Brand and Website.

Funding Committee

Generally oversees the fundraising activities of the Foundation to ensure adequate resources to enable the Foundation to fulfill its stated purposes, recommends strategic funding direction and annual fundraising goals.
